1. Applicability & Definitions
These terms apply to all wholesale (B2B) transactions. The client is any business entity purchasing products/services for operational purposes.
2. Returns
All B2B orders are final. Returns are not accepted under any circumstances, including for standard, customized, or personalized items.
3. Price & Payment Terms
All prices are exclusive of VAT and subject to change until order confirmation. Unless otherwise agreed in writing, payment is due immediately upon receipt of the invoice.
4. Delivery & Risk
Ex Works unless otherwise agreed. Client is responsible for shipping costs. Risk transfers once goods are handed to the carrier.
5. Custom Products & Branding
Custom design responsibility rests with the client. No returns or refunds for customized goods.
6. Warranty & Claims
Standard factory warranty applies. Defects must be reported within 24 hours. Liability limited to repair or replacement of defective items.
7. Liability
Liability is limited to the invoice total. No liability for indirect or special damages.
8. Force Majeure
Not liable for delays due to force majeure (e.g., supplier, transport, regulatory disruptions).
9. Governing Law & Disputes
Agreement governed by Dutch law. Disputes to be resolved via [mediation/arbitration] prior to court.
